NOTICE OF PUBLIC HEARING

Notice is hereby given that a public hearing will be conducted telephonically by the Vermont Economic Development Authority (“VEDA”) on Friday, April 22, 2022, at 10:00 a.m. regarding the proposed issuance as part of a plan of finance, in one or more series or sub-series, of up to $60,000,000 stated principal amount of its tax-exempt revenue bonds (the “Bonds”) pursuant to Subchapter 4 of Title 10, V.S.A., Chapter 12 (which Bonds will not constitute a debt or pledge of the faith or credit of the State of Vermont or VEDA) and pursuant to Section 142(a)(6) of the Internal Revenue Code of 1986, as amended, (the “Code”), to finance certain capital expenditures related to “solid waste disposal facilities” (within the meaning of Section 142(a)(6) of the Code), including, without limitation, landfill, solid waste collection, organics, transfer, recycling and hauling facilities (collectively, the “Project”) owned or operated or to be owned or operated by Casella Waste Systems, Inc. or its affiliates (collectively, the “Borrower”), and located at the following addresses within the State of Vermont:

The Project includes (1) new recycling and organics processing equipment and infrastructure; (2) transportation equipment, including solid waste, recycling and organics collection vehicles; (3) solid waste, recycling and organics collection containers and compactors; (4) certain landfill development costs at the Borrower’s current landfill site in Coventry, Vermont, including landfill cell development and liners to create additional disposal capacity, and the costs of general improvements, including upgrades to leachate collection, water management, methane gas collection and treatment, paving and grading and other infrastructure improvements; (5) building, land, leasehold and infrastructure improvements; (6) other machinery, equipment, furniture, fixtures and other tangible personal property; (7) any additional installation, development, design, engineering, replacements, demolition, improvements, equipment, construction, renovation, structures, permitting and other capital expenditures related to accomplishing the foregoing; (8) funding a reserve fund, if any, for the Bonds; and (9) financing the costs of issuance and other common costs of the Bonds.
